Data Mirror is software you buy once and run on your own infrastructure. These terms cover what you may do with it, what we promise, and what we do not. Licences are sold through Gumroad and CodeCanyon at the same price. Which channel you buy from decides who the seller is and how refunds work — see our Refunds page.

1. Agreement to these terms

These Terms of Service form a binding agreement between you (or the organisation you represent) and Misiki Technologies LLP ("Data Mirror", "we", "us"). By purchasing, downloading, installing or using the Data Mirror software (the "Software"), you accept these terms. If you do not accept them, do not purchase or use the Software.

If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation.

2. The Software and how it is delivered

Data Mirror is a self-hosted change-data-capture tool. You install and run it inside your own environment, connected to your own databases and destinations. It is delivered electronically: buy on Gumroad and the files and your licence key are emailed to you; buy on CodeCanyon and you download them from your Envato account.

We do not host the Software for you, and we do not operate any part of your data pipeline.

3. Licence grant

The licence is the same from either channel: a single user may install and run the Software for their own business purposes, including in production, and may use it to create an unlimited number of end products — including client projects.

Buying on Gumroad, that licence is granted by us on these terms, perpetually and worldwide, subject to payment and continued compliance. Buying on CodeCanyon, your rights come from the standard Envato licence for the item, and extended licensing options shown on that item page are governed by their own terms.

What no licence permits is passing the Software itself on to someone else — see the restrictions below.

4. Licence restrictions

You may not:

  • resell, redistribute, sublicense, rent, lease or publish the Software or your licence key;
  • share your licence or purchase code outside your organisation, or use one licence to cover more users than it was bought for;
  • offer the Software to third parties as a hosted or managed service;
  • remove or obscure any copyright, licence or attribution notices;
  • circumvent, disable or tamper with any licensing or usage-limit mechanism.

Reverse engineering is permitted only to the extent that applicable law expressly allows it notwithstanding this restriction.

5. Your responsibilities

You are responsible for the infrastructure you run the Software on, for the security of your databases and credentials, and for maintaining your own backups. You are responsible for ensuring your use complies with applicable law and with the terms of your database, hosting and search providers.

Because the Software replicates data between systems you control, you are the controller of that data and remain responsible for its lawful processing.

6. Pricing, payment and taxes

Data Mirror is sold through two channels, at the same price in US Dollars: Gumroad, our own storefront, and CodeCanyon, part of the Envato Market. Which one you buy from determines who the seller is and whose terms govern the transaction.

Gumroad. We are the seller. Gumroad processes the payment, handles VAT, GST and sales tax where applicable, and delivers the files and your licence key by email. These terms govern your purchase and your right to use the Software.

CodeCanyon. Envato is the seller and handles payment, tax and invoicing. The Envato Market Terms and the Envato licence you purchase govern that transaction. Where anything in these terms conflicts with the Envato licence you bought, the Envato licence wins.

In neither case do we receive or store your card details.

Licences are a one-time charge. They are not subscriptions, and you will not be billed again on a recurring basis.

7. Refunds

Bought on Gumroad: we offer a 14-day, no-questions-asked refund. Email us within 14 days of purchase and we refund you in full; you do not have to give a reason.

Bought on CodeCanyon: Envato is the seller, so refunds are handled by Envato under the Envato Market Refund Policy, which covers situations such as the item being materially different from its description or not working as described.

Both paths, and how to reach us first, are set out on our Refunds page, which forms part of these terms. Your statutory rights as a consumer are not affected.

8. Updates and support

Your purchase includes future updates as we release them — by email from Gumroad, or from your Envato account if you bought on CodeCanyon. We do not commit to a release schedule or to any particular feature.

Six months of support is included either way, covering help with defects and questions about using the Software as described. On CodeCanyon this runs through Envato's support system and can be extended to twelve months at checkout, on the terms of the Envato support policy; on Gumroad you contact us directly.

Hands-on setup assistance — a remote screen-share to get your first pipeline running — is not part of the licence and is arranged separately by agreement. Where provided, it is advisory help with your configuration: we do not take responsibility for your infrastructure, and it does not extend the warranty or liability positions below.

Updates are provided as and when we release them; we do not commit to a release schedule or to any particular feature. For priority support we aim to respond within two business days. This is a target, not a contractual service level agreement, and no remedy or credit arises from missing it. We may retire a product line, in which case we will give reasonable notice and you may continue using the last released version under this licence.

9. Intellectual property

The Software is licensed, not sold. We and our licensors retain all right, title and interest in and to the Software, including all intellectual property rights. These terms grant you no rights other than the licence expressly described above. You retain all rights in your own data and configuration.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Software will be uninterrupted, error-free, or that replication will be free of loss, delay or inconsistency in every circumstance. You are responsible for testing the Software against your own workload and for maintaining backups before relying on it in production.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for loss of profits, revenue, goodwill, business interruption, or loss or corruption of data, however caused and under any theory of liability.

Our total aggregate liability arising out of or relating to these terms or the Software will not exceed the amount you actually paid for the licence in the twelve months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, death or personal injury caused by negligence, or rights you have under mandatory consumer protection law.

12. Termination

Your licence terminates automatically if you materially breach these terms — in particular the licence restrictions in section 4 — and do not cure the breach within 30 days of us notifying you. On termination you must stop using the Software and delete all copies. Termination for breach does not entitle you to a refund outside the 14-day window.

13. Changes to these terms

We may update these terms to reflect changes to the product or to legal requirements. The "last updated" date at the top of this page shows when they last changed. Changes apply to purchases made after they are posted; they do not retroactively reduce the licence rights of an existing purchase.

14. Governing law and jurisdiction

These terms are governed by the laws of India, without regard to conflict-of-law rules. The courts at Rourkela, India will have exclusive jurisdiction over any dispute arising out of or relating to these terms, except that either party may seek injunctive relief in any competent court. If you are a consumer, this does not deprive you of the protection of mandatory laws in your country of residence.
